This Terms of Purchase and Commercial Licensing Agreement (the "Agreement") is a legally binding contract between you (the "Buyer", "Licensee", or "User") and Iron Beast 3D ("Company", "we", "us", or "our").
By purchasing, downloading, or using any digital products - including but not limited to 3D CAD files (STEP, STL), high-definition images, 360-degree interactive videos, and marketing copy (collectively, the "Digital Assets") - from Iron Beast 3D, you explicitly agree to be bound by the terms and conditions outlined below.
If you do not agree to these terms, do not purchase, download, or use our Digital Assets.
You acknowledge that Iron Beast 3D utilizes Lemon Squeezy as our authorized Merchant of Record (MoR). When you make a purchase, your financial transaction, credit card processing, invoicing, and applicable global tax collections (such as VAT or Sales Tax) are handled entirely by Lemon Squeezy in accordance with their terms and privacy policies. Iron Beast 3D does not collect or store your financial data.
Upon successful payment, Iron Beast 3D grants you a non-exclusive, non-transferable, revocable, worldwide commercial license to use the purchased Digital Assets under the following strictly defined parameters:
What You ARE Allowed To Do:
Unlimited Physical Production: You may use the 3D files (STEP, STL) to 3D print, cast, and manufacture an unlimited number of physical jewelry pieces for commercial sale.
Modifications for Production: You may open the 3D files in CAD software to modify, scale, or add elements (such as prongs, custom engravings, or gemstone settings) solely for the purpose of manufacturing your physical products.
Marketing Usage: You may use the provided HD images, 360 videos, and marketing copy on your e-commerce website, social media, and paid advertising campaigns to sell your physical end-products.
The license granted to you is for the creation of physical goods only. You do not own the intellectual property of the original digital files.
What You Are STRICTLY PROHIBITED From Doing:
No Digital Resale or Sharing: You may not sell, resell, share, distribute, sub-license, or freely upload the Digital Assets (STEP files, STL files, images, or videos) in their original or modified digital formats to any marketplace, forum, or third party.
No Asset Dumping: You may not bundle our Digital Assets with other files to create "asset packs" for sale or distribution.
No AI Training: You may not use any of our 3D geometries, images, videos, or text to train, feed, or develop Artificial Intelligence (AI) models or machine learning algorithms.
We understand you may modify our 3D files to suit your specific manufacturing needs or to create derivative designs. However, to protect our intellectual property and the ecosystem of our other B2B clients, the following rule applies absolutely:
No Exclusive Registration: You are strictly prohibited from attempting to register, file, or claim any exclusive Copyright, Trademark, or Design Patent in any jurisdiction for any digital file or physical product that is based upon, derived from, or incorporates the core geometry of Iron Beast 3D’s original designs. Any modifications you make do not transfer the underlying intellectual property rights to you.
Iron Beast 3D acknowledges that you may not manufacture the physical jewelry in-house and may need to use third-party manufacturing facilities (e.g., 3D printing farms, casting factories, or overseas contractors).
Temporary Transfer Allowed: You are permitted to share the 3D files (STEP/STL) with a third-party manufacturer solely and exclusively for the purpose of producing your specific physical orders.
Buyer’s Absolute Liability: You assume 100% legal and financial responsibility for the actions of your chosen manufacturer. It is your obligation to ensure they do not store, copy, share, catalog, or resell the 3D files.
Indemnification for Leaks: If Iron Beast 3D discovers that our Digital Assets have been leaked, shared, or commercialized digitally by the third-party factory you engaged, you agree to bear full legal and financial liability for the breach. You agree to fully indemnify Iron Beast 3D for all lost revenues and legal costs associated with the unauthorized distribution.
Non-Exclusive Nature: You acknowledge that this license is non-exclusive. Iron Beast 3D sells the exact same Digital Assets to multiple B2B clients worldwide. You may face competitors selling visually similar physical products or using the same marketing media.
AI-Assisted Creation: You acknowledge that Iron Beast 3D utilizes Artificial Intelligence tools to assist in generating images, videos, marketing copy, and conceptualizing 3D models. As AI-generated content cannot be copyrighted in certain jurisdictions, Iron Beast 3D makes no representations or warranties that you will hold any exclusive intellectual property rights over the marketing media provided.
Digital Concept Geometry Only: The 3D files (STEP, STL) provided by Iron Beast 3D are digital concepts. They do not account for real-world physics, material shrinkage during casting, structural integrity under pressure, or specific machine tolerances.
Assumption of Manufacturing Risk: You, as the physical manufacturer or the entity commissioning the manufacturing, are solely responsible for verifying the structural integrity, safety, and functionality of the design before mass production. Iron Beast 3D is strictly not liable for any:
Failed prints, broken molds, or wasted materials (e.g., gold, silver, resin).
Damage to your 3D printers, casting machinery, or other equipment.
Physical injuries, accidents, or harm caused to any jeweler, worker, or end-consumer by a manufactured piece (e.g., sharp edges, structural failure).
Iron Beast 3D provides assets to assist your business; however, we make no guarantees regarding your financial success. Any marketing copy, ad creatives, or imagery provided are not a guarantee of sales, revenue, or profit. Your business results depend entirely on your market, pricing, advertising skills, and external economic factors. Iron Beast 3D disclaims all liability for any financial losses or lack of profitability experienced by your business.

Due to the irrevocable nature of digital goods, Iron Beast 3D enforces a Strict No-Refund Policy once a Digital Asset has been downloaded.
Technical "Right-to-Repair" Guarantee: The only exception to our no-refund policy is in the event of a critical technical failure. If you discover that a downloaded 3D file is corrupted, unopenable in standard CAD software, or contains catastrophic mesh errors that prevent slicing:
You must notify us within 14 days of the purchase date, providing clear evidence (screenshots or video recordings) of the error.
Iron Beast 3D reserves the "Right to Repair". We will have a period of 48 hours from the time of your notification to provide a fixed, working replacement file.
If, and only if, we are unable to provide a functional replacement file within this timeframe, a full refund for that specific asset will be issued.
Under no circumstances will refunds be issued because you changed your mind, purchased the wrong file, or found a cheaper alternative elsewhere.

10. TERMINATION AND REVOCATION OF LICENSE
This commercial license is effective until terminated. Iron Beast 3D reserves the right to immediately terminate or revoke your license without prior notice and without refund if you fail to comply with any term of this Agreement (including but not limited to unauthorized sharing, digital reselling, or attempting to register exclusive intellectual property). Upon termination, you must immediately cease all manufacturing, marketing, and sales of products derived from our Digital Assets, and permanently delete all copies of our Digital Assets from your servers, computers, and third-party manufacturing facilities.
11. ENTIRE AGREEMENT
This Agreement, along with our Privacy Policy and Terms of Use, constitutes the entire and exclusive understanding and agreement between Iron Beast 3D and you regarding the purchase and licensing of our Digital Assets. This Agreement supersedes and replaces any and all prior oral or written understandings, emails, social media messages, or agreements between Iron Beast 3D and you.
12. SEVERABILITY
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement will remain in full force and effect.
This Agreement shall be governed by, and construed in accordance with, the laws of the Socialist Republic of Vietnam.
Any dispute, controversy, or claim arising out of or relating to this Agreement, including its validity, breach, or termination, which cannot be resolved through good-faith negotiation, shall be subject to the exclusive jurisdiction of the People's Court of Lam Dong Province, Vietnam. By entering into this Agreement, the Buyer explicitly consents to this jurisdiction and waives any objections based on venue or inconvenient forum.
